Manuel
Chapter 2, §2.3 and §2.3.1–2.3.4 (B2B definition, development, platforms, B2B versus B2C, Figures 2-7 and 2-8); Chapter 3, §3.3, §3.4.1 and §3.6.
Prérequis
Lessons 6, 8 and 16: B2B and B2C models, the cost ledger, and pricing mechanisms.
Rôle dans le cours
This is an integrated case lesson, not a new concept lesson: it makes students produce a conditional recommendation on a real-shaped B2B inquiry, using the quotation, cash-flow and evidence costs built in earlier lessons.

Contexte d'ouverture

Points clés et difficultés

Points clés

  • B2B is identified by the parties and the purpose, not by the size of the amount; the counterparty must be verified before the price is discussed.
  • A quotation has five columns, and the Incoterm decides who bears freight, insurance, duty and risk - which is why buyer and seller can rank the same options differently.
  • Margin is not cash: contribution, deposit, credit period and platform fees together decide whether a profitable order is feasible.

Difficultés probables

  • Students treat any large inquiry as B2B and skip verification of the buyer's identity and authority.
  • They compare quotes on unit price alone, missing that Incoterms shift freight, duty and risk between the parties.
  • They read a high gross margin as success, although 90-day terms and advance costs can make the order impossible to finance.

Concepts clés

B2B traits and counterparty verification

Définition
§2.3.1: B2B is a transaction between businesses, such as a manufacturer and a wholesaler, or a wholesaler and a retailer. It often entails larger quantities, greater specifications and longer lead times, and buyers may need recurring supply for repeated production. §2.3.4: B2C end users are individuals, B2B end users are companies.
Pourquoi c'est important
The traits tell you what kind of process to run - samples, audits, contracts, capacity proof - and the verification step protects you from spending that process on someone who cannot pay.
Comment cela éclaire le cas
Score an inquiry against the traits, then verify the domain, registration, audit invitation and payment history before quoting.
Différence avec les concepts voisins
B2B is not a synonym for a large order; a wealthy individual buying a kitchen is still B2C.
Fonctionnement
Check both parties are businesses, the purchase is for operations, and at least two of volume, specification, lead time and recurrence are present; then verify the buyer independently.
Conditions et limites
Public registries and platform badges are evidence, not proof of authority or creditworthiness; a purchase order and a deposit are stronger.

The five-column quotation

Définition
A B2B quotation states landed cost (goods, packaging, domestic transport, export clearance, international freight, insurance, duty, after-sales), lead time with its starting point, minimum order quantity, payment terms and risk allocation through an Incoterm.
Pourquoi c'est important
Each column shifts cost or risk between the parties; a single unit price hides all five and makes comparison meaningless.
Comment cela éclaire le cas
Quote every option in the same five columns, then compare both the seller's contribution and the buyer's landed cost.
Différence avec les concepts voisins
A quotation is an offer, not a contract; the Incoterm defines delivery, risk transfer and who pays what, but does not by itself settle inspection, warranty or late-delivery liability.
Fonctionnement
Build cost bottom-up, choose the Incoterm, state the lead-time trigger (order or sample approval), set MOQ by tooling and material, and name the payment milestones.
Conditions et limites
Freight, duty rates and exchange rates move; a fixed price without an index clause transfers all of that risk to the seller.

B2B funnel and evidence costs

Définition
§3.4.1 describes the funnel as awareness, interest, consideration, intent, evaluation and purchase. In B2B supply, inquiry maps to awareness and interest, the audit and samples to consideration and evaluation, quotation and contract to intent, production and delivery to purchase, and the repeat order to repurchase.
Pourquoi c'est important
The funnel shows where inquiries are eliminated; the audit and sample stages are both a capability test and a screen, and they cost money before any revenue arrives.
Comment cela éclaire le cas
Budget audit, sample and travel costs as acquisition cost, and measure how many inquiries are needed per won order.
Différence avec les concepts voisins
A free sample is a price concession, not a marketing strategy; it attracts buyers who value the sample more than the order.
Fonctionnement
Track conversion at each link, cost per won order, and the share of inquiries that reach sampling; then decide whether to charge for samples or narrow the top of the funnel.
Conditions et limites
The funnel is a description, not a law: some buyers skip stages, and repeat orders can arrive without a new inquiry.

Contribution margin and cash conversion

Définition
Contribution per unit = quote − all variable costs, including freight, duty where the seller bears it, and the after-sales reserve. Cash tied up = cost to deliver − deposit received, held until the balance is paid.
Pourquoi c'est important
An order can be profitable on paper and impossible in practice: the seller pays for materials and freight weeks before the buyer pays, so working capital, not margin, can set the ceiling on annual profit.
Comment cela éclaire le cas
Compute contribution per option, then compute the cash the seller must fund and for how long; compare the return on that cash with the cost of borrowing.
Différence avec les concepts voisins
Margin is a percentage of price; cash is an amount and a date. Platform membership fees are annual fixed costs and must be allocated deliberately, not ignored.
Fonctionnement
Contribution = (quote − variable cost) × units. Cash tied up = variable cost × units − deposit. Then add audit, samples and the allocated platform fee.
Conditions et limites
The allocation of an annual platform fee to one order is a management choice; state the basis, because it can change the answer.

B2B traits and counterparty verification

Définition
Pourquoi c'est important
Différence avec les concepts voisins

The five-column quotation

Définition
Pourquoi c'est important
Différence avec les concepts voisins

B2B funnel and evidence costs

Définition
Pourquoi c'est important
Différence avec les concepts voisins

Contribution margin and cash conversion

Définition
Pourquoi c'est important
Différence avec les concepts voisins

Explication

The email arrives on a Tuesday. A procurement team describing itself as the buyer for a German hotel chain wants twenty thousand guest-room wall lights, custom colour temperature and mounting holes, delivery in forty-five days, three shipments, a quote including freight and duties, and ninety-day terms. The owner of the Zhongshan factory is excited, and should be worried. This is a teaching case: the company, the buyer and every number are fictional. What is real is the sequence of questions a competent supplier asks before saying yes.

The first question is whether this is B2B at all. The textbook defines B2B as a transaction between businesses, such as a manufacturer and a wholesaler, rather than between a company and an individual consumer. It adds three symptoms: larger quantities, greater specifications and longer lead times, plus possible recurring supply. The inquiry meets four: twenty thousand units, custom specifications, forty-five days and three shipments. The fifth test is not in the email. A claim to be a hotel-chain procurement team is not verification; the domain, the registration, the audit invitation and the payment history are. Verify the party before discussing price.

The textbook's comparison is compact. In B2C the end users are individuals buying for personal use; in B2B they are companies buying for the company. Large purchases generally need approval from those who head the company, which makes business purchasing power more complex than a consumer's. Prices are not necessarily the same in B2B: businesses negotiate prices and payment terms, while B2C consumers often pay the same price for the same product. Three practical questions follow: who signs, who pays and who inspects. Each answer adds a person and a week, and none can be short-circuited by a limited-time discount.

Map the process onto the funnel in §3.4.1. Inquiry is awareness and interest; the audit and samples are consideration and evaluation; the quotation and contract are intent; production and delivery are purchase; the repeat order is repurchase. In B2B the narrowest point is usually the sample. A sample proves the factory can hit the specification, and it screens the buyer: a buyer who will not pay for samples or share an inspection standard is often not a buyer. That is why evidence belongs in the acquisition budget. In the case, one audit costs about US$1,200 and five sample sets US$425, small against a US$360,000 order, not small against a year of unanswered inquiries.

A B2B quotation is not a price. It has five columns: landed cost, lead time, minimum order quantity, payment terms and risk allocation. Landed cost covers goods, packaging, domestic transport, export clearance, freight, insurance, duty and after-sales; the Incoterm decides which the seller bears and where risk transfers. Lead time must state its starting point, because forty-five days from the order and forty-five days from sample approval are different promises. MOQ is set by tooling, materials and line setup, and is negotiable in structure rather than number. Payment terms are a price in disguise. Risk covers inspection standards, late delivery, claims, exchange rates and freight surcharges. A quotation is not a contract.

Now compare three ways to quote the same order. Under DDP the seller delivers duty paid at US$18.00; landed cost is US$15.30, so contribution is US$2.70, or 15.0%. Under CIF at US$16.80 the buyer pays duty of about US$1.00, the seller's cost is US$14.30 and contribution US$2.50, or 14.9%. Under FOB at US$15.60 the buyer pays freight, insurance and duty, the seller's cost is US$12.70 and contribution is US$2.90, or 18.6%. The ranking inverts with whose numbers you use. The seller earns most under FOB, yet the buyer's landed cost is highest at about US$18.20, against US$18.00 under DDP and US$17.80 under CIF. A buyer comparing total cost pushes toward CIF; a seller comparing contribution prefers FOB. The negotiation is about who bears which cost and risk.

Then count the cash, because margin is not cash. Under DDP the order is worth US$360,000 at a landed cost of US$306,000, leaving US$54,000 of contribution. A 30% deposit brings in US$108,000, so the seller must fund about US$198,000 until the balance arrives after ninety days. A factory with US$200,000 of working capital can run one such order at a time; its annual profit is capped by cash, not margin. Under FOB the deposit is US$93,600 against a cost of US$254,000, so about US$160,400 is tied up, and the balance is collected before shipment. A discount for early payment is often cheaper than a bank loan.

The platform adds a cost that is easy to forget because it is annual. Alibaba.com, the textbook notes, collects commission that can be as high as RMB 150,000 a year, varying by category, and also earns from advertising. At roughly 7.1 that is about US$21,000. Allocated to this 20,000-unit order it is US$1.05 per unit, cutting DDP contribution from US$2.70 to US$1.65; across 60,000 units a year it is US$0.35. The allocation is a management decision, not an accounting truth, and it changes whether the order is worth taking. The platform also owns the relationship: an inquiry answered inside a marketplace is rented demand until it becomes a direct contact.

The remaining costs are the ones buyers notice last. Audit and samples cost about US$1,625 per won order, lowering contribution to roughly US$52,375. The warranty reserve is US$0.30 per unit, or US$6,000 across the order. If 3% of units fail and each replacement costs US$9 including air freight, claims are US$5,400, so the reserve holds, but only just; a batch defect would not. After-sales responsibility therefore belongs in the terms: the claim window, who pays return freight, whether spare parts ship with the batch, and what happens if the buyer installs the fittings incorrectly. The standard must be written before production, not argued after it.

That is why the deliverable is not a verdict. Accept or reject is the wrong question; the question is under which conditions the order is worth taking. A defensible answer: accept at FOB US$15.60 if the buyer agrees to forty-five days counted from sample approval, a 30% deposit with the balance before shipment, a freight surcharge clause above a 5% move, a pre-shipment inspection standard with an agreed sampling plan, and a warranty limited to the driver and fittings with a 2% spare-parts allowance. Change one condition and the recommendation changes. Marketing language is not evidence, and a buyer's brand name is not a credit rating. Writing conditions, rather than enthusiasm, separates a supplier from a hopeful exporter.

Exemples

Example 1: the same order, three Incoterms

DDP at US$18.00 leaves US$2.70 of contribution because the seller pays US$15.30 including duty. FOB at US$15.60 leaves US$2.90 because the seller's cost is only US$12.70, but the buyer's landed cost rises to about US$18.20. CIF at US$16.80 sits between: US$2.50 for the seller and about US$17.80 for the buyer, the cheapest landed option.

Concept mobilisé: Five-column quotation.

Example 2: an annual fee, two allocations

A platform membership of about US$21,000 a year is US$1.05 per unit on a single 20,000-unit order, cutting DDP contribution from US$2.70 to US$1.65. Allocated across 60,000 units a year, it is US$0.35. The fee did not change; the basis of allocation did.

Concept mobilisé: Contribution margin and cash conversion.

Cas

Scénario pédagogique (fictif, pour l'analyse)

Case: twenty thousand wall lights (teaching case)

Contexte et période
A fictional teaching case; the factory, the buyer and every figure are invented and describe no real order. A Zhongshan lighting factory receives an inquiry for 20,000 guest-room wall lights in two colour temperatures, with custom mounting holes, 45-day delivery, three shipments, a quote including freight and duties, and 90-day terms. Known (simulated): goods and packaging US$12.00 per unit, domestic transport and export clearance US$0.40, international freight and insurance US$1.60, duty US$1.00 if the seller bears it, after-sales reserve US$0.30. The platform membership is about US$21,000 a year, the third-party audit US$1,200 and five sample sets US$425.
Le problème
The buyer asks for a DDP price. The factory can quote DDP at US$18.00, CIF at US$16.80 or FOB at US$15.60, and each option shifts cost, risk and cash. The owner wants the order, the finance manager wants the cash, and the production manager wants a lead time that starts after sample approval. All three are right, which is why the answer has to be conditional.
Build landed cost for each option: DDP 12.00 + 0.40 + 1.60 + 1.00 + 0.30 = 15.30; CIF 14.30; FOB 12.70. Compute contribution: DDP 2.70 (15.0%), CIF 2.50 (14.9%), FOB 2.90 (18.6%). Compute the buyer's landed cost: DDP 18.00, CIF 17.80, FOB 18.20. Then compute cash: DDP order value 360,000, cost 306,000, deposit 108,000, funded 198,000; FOB order value 312,000, cost 254,000, deposit 93,600, funded 160,400. Add audit and samples (1,625) and allocate the platform fee (1.05 per unit on this order, 0.35 across a year of 60,000 units). Check the warranty reserve: 0.30 x 20,000 = 6,000 against a 3% failure rate at 9 per replacement = 5,400.
Résultats observables
DDP looks best to the buyer on landed cost but ties up 198,000 for ninety days; FOB earns the seller 2.90 per unit and cuts the cash requirement to 160,400, yet the buyer's landed cost is highest at 18.20, so it will be resisted. CIF is the compromise both sides can defend. After audit and samples, DDP contribution falls to about 52,375; after allocating the platform fee to this order it falls to about 31,375, which is why the allocation basis must be stated. The warranty reserve covers an expected claim but not a batch defect, so the 2% spare-parts allowance and the claim window are part of the price, not extras.
Concepts mobilisés
B2B traits and verification; five-column quotation and Incoterms; B2B funnel and evidence costs; contribution margin and cash conversion.

Questions de discussion

  1. Is this typical B2B? List the evidence, then list the three checks you would run before quoting.
  2. Compare the three quotes on both the seller's contribution and the buyer's landed cost, and explain the inversion.
  3. Compute the cash the seller must fund under DDP and under FOB, and state how many such orders the factory could run in a year with US$200,000 of working capital.
  4. Write a conditional recommendation in no more than six lines, naming at least four conditions.

Notes d'analyse pour l'enseignant

Make students build the five columns before computing anything. The most common error is to compare quotes on unit price, which reverses the ranking. The second is to treat contribution as cash: 54,000 of contribution against 198,000 funded is the point of the lesson. The third is to leave the platform fee unallocated; insist that the basis is stated. In the final answer, reject any recommendation without a condition, and reject any use of the buyer's brand name as evidence of creditworthiness.

Malentendus fréquents

Affirmation courante

B2B is just B2C with bigger amounts.

Ce qu'il faut clarifier

The test is that both parties are businesses buying for operations. A large personal purchase remains B2C, and a large inquiry still needs verification.

Affirmation courante

A quotation is a price.

Ce qu'il faut clarifier

A quotation has five columns: landed cost, lead time, MOQ, payment terms and risk allocation. A price without the other four cannot be compared.

Affirmation courante

More inquiries mean more orders.

Ce qu'il faut clarifier

Audits and samples eliminate many inquiries, and their cost is real. Track conversion per link and cost per won order.

Affirmation courante

High gross margin means no loss.

Ce qu'il faut clarifier

Margin is not cash. A 15% contribution on an order that ties up 198,000 for ninety days can be impossible to finance.

Affirmation courante

Platform inquiries are your own customers.

Ce qu'il faut clarifier

The platform owns the traffic and the rules. Only a verified direct contact becomes your customer.

Affirmation courante

The lowest quote wins the order.

Ce qu'il faut clarifier

Buyers compare landed cost, lead time, MOQ, terms and risk. A low unit price under FOB can be the most expensive offer once freight and duty are added.

Discussion en classe

  1. An email claims to be a hotel-chain procurement team. Which three things would you verify first, in what order, and what would make you stop?
  2. Should samples be free or charged? Argue from screening and cost control, and say what you would do for a buyer with a verified audit.
  3. Would you accept 90-day terms on a 15% contribution? State what else you need to know and the terms you would counter with.
  4. The buyer asks for DDP because it is simpler. What would you offer instead, and how would you explain the trade-off without losing the order?

Write the conditional recommendation in 12 minutes

Turn the quotation arithmetic into a six-line recommendation that names its conditions.

  1. 3 min Fill the five columns for DDP, CIF and FOB, including the lead-time trigger and MOQ.
  2. 3 min Compute contribution per unit and the cash funded under DDP and FOB.
  3. 4 min Add the audit and sample cost and allocate the platform fee; state the basis you used.
  4. 2 min Write the recommendation in six lines with at least four conditions.

Ce que les étudiants produisent: A five-column quote table plus a six-line conditional recommendation with at least four conditions.

Notes de référence pour l'enseignant

Check the five columns before any arithmetic. The usual errors are comparing unit prices across Incoterms, treating 54,000 of contribution as cash, and leaving the platform fee unallocated. A recommendation without a condition is incomplete; so is one that cites the buyer's brand as credit evidence. Accept any option if the conditions make it coherent.
